Retroactive Commercial License Fee
Any use of original I.E.L. Manufacturing Ltd. media without a written license is unauthorized. Each unauthorized use will be invoiced at our standard retroactive commercial license fee of US$10,000 per image, per use.
- "Per image" means each separate photograph, video, rendering, graphic, or other media asset, including any cropped, resized, edited, or partial copy.
- "Per use" means each website, web page, domain, social media account, advertisement, online listing, printed piece, or other publication in which the media appears.
- The fee applies to every unauthorized use from the date it began, however long the media was displayed.
- Removing the media after it is discovered or after notice is received does not cancel the fee for use that has already occurred.
Additional Legal Remedies
The retroactive license fee is in addition to, and not in place of, any other remedies available under law, including:
- Statutory damages under section 38.1 of the Copyright Act (Canada), R.S.C. 1985, c. C-42
- Statutory damages under 17 U.S.C. § 504 (United States), including increased damages for willful infringement
- Remedies for the removal or alteration of copyright management information, including embedded image metadata, under sections 41.22 and 41.23 of the Copyright Act (Canada) and 17 U.S.C. §§ 1202–1203 (United States)
- Injunctions, the delivery up or destruction of infringing copies, and an accounting of profits
Where our media is used to promote another company's products or services, I.E.L. Manufacturing Ltd. may also pursue claims for passing off, false or misleading advertising, and trademark infringement.
Costs of Enforcement
If unauthorized use is not resolved after written notice, I.E.L. Manufacturing Ltd. will seek to recover, to the extent permitted by law, all reasonable costs of enforcement, including:
- Legal fees and court costs
- Investigation and evidence preservation costs
- Collection costs
- Interest on unpaid amounts
Notice and Takedown
When unauthorized use is identified, I.E.L. Manufacturing Ltd. may issue a written notice requiring the infringing party to remove the media and pay the retroactive license fee by a stated deadline.
In addition to any legal proceedings, I.E.L. Manufacturing Ltd. may:
- Submit takedown notices to web hosts, search engines, social media platforms, and online marketplaces under the Digital Millennium Copyright Act (United States) and equivalent laws in other jurisdictions
- Send notices of claimed infringement through internet service providers under the notice-and-notice regime of the Copyright Act (Canada)
- Report infringement directly to platforms under their own intellectual property policies
No License Granted by Payment
Payment of a retroactive license fee:
- Resolves only the past unauthorized use identified in the invoice
- Does not grant any license or right to continue using the media
- Does not waive any other right or remedy of I.E.L. Manufacturing Ltd.
Any continued or future use requires a separate written license agreement. See Section 6, Licensing Requests.
